Transactional Intellectual Property Attorney

Job Summary:

Sun is seeking an Associate Director within its Intellectual Property group in its Princeton, New Jersey location. The Associate Director will report into the Director of Intellectual Property and will support all transactions for the organization from an IP perspective. The ideal candidate is a highly motivated and energetic individual with significant experience handling IP transactions, including the drafting and negotiation of settlements and licensing agreements, with excellent communication skills and the ability to collaborate effectively with various legal and business partners.

Responsibilities :

  • Draft, analyze, review and negotiate patent and trademark settlement agreements, co-existence agreements, and cease and desist letters.

  • Negotiate and draft license agreements, master service agreements, distribution agreements, and manufacturing and supply agreements with specific focus on intellectual property provisions.

  • Advise the business team regarding intellectual property related contractual matters and the impact of those matters on proposed business strategies.

  • Provide IP and legal advice to management on settlements, including substantive input on legal strategies and settlement negotiations.

  • Excellent leadership, organizational, and time management skills.

  • Strong problem-solving and decision-making capabilities, with the ability to navigate complex challenges.

  • Strong oral and written communication and advocacy skills with the ability to explain complex concepts to a variety of audiences.

  • Interpersonal Skills: Ability to build strong relationships and work collaboratively and effectively with internal teams and external providers.

  • Contributes to a team culture that promotes continuous improvement, ownership, professional growth, and inclusion.

Education and Qualifications:

  • Juris Doctorate from an ABA accredited law school with active registration, in good standing, with a state or federal bar.

  • Undergraduate or graduate level degree in chemistry, biology, pharmaceutics, or other relevant life science preferred.

  • Minimum of 3-5 years of IP transactional experience at a law firm, preferably representing global pharmaceutical and/or life science clients, or at an in-house pharmaceutical or biotechnology company.

  • Experience advising on IP contractual issues, including drafting, analyzing, and reviewing a variety of licenses and settlement agreements.

  • Knowledge of intellectual property law, the Hatch-Waxman Act, the Biologics Price Competition Act and related regulations and practices.

  • Self-starter with the ability to manage multiple projects, prioritize workflow, and collaborate effectively with colleagues in a multicultural environment.

Actual base compensation may vary based on a number of factors, including but not limited to geographical location and experience.
